Terms and Conditions of Service

Welcome to Black Sheep Delivery. These Terms and Conditions of Service (“Terms”) govern your access to and use of our website, mobile application, and all related services (collectively, the “Service”). By accessing or utilizing the Service, you signify your unreserved agreement to be legally bound by these Terms. Should you disagree with any portion of these Terms, you are strictly prohibited from accessing or using the Service.

1. Scope of Service and Eligibility

  • Acceptance: By using the Service, you affirm that you are of the legal age of nineteen (19) years or older, or the legal minimum age for the purchase and consumption of cannabis products in the jurisdiction where you reside.
  • Geographic Restriction: The Service is strictly offered to individuals residing in Canada, and all products purchased must be delivered within the designated service areas in Canada.
  • Compliance with Law: You agree to strictly adhere to all federal, provincial, and municipal laws, statutes, and regulations concerning the purchase, possession, and consumption of cannabis.
  • Reservation of Rights: Black Sheep Delivery reserves the unilateral right to modify, suspend, or permanently terminate the Service, or your access thereto, at any time, without prior notification or liability.

2. Product Information and Availability

  • Subject to Availability: All products displayed on the Service are subject to availability. The listing of a product does not constitute a guarantee of availability.
  • Modifications: Black Sheep Delivery retains the right to limit the sales quantities of any product, discontinue any product line, or change product descriptions and pricing at any time without advance notice.
  • Pricing: All prices are quoted in Canadian Dollars (CAD) and are subject to applicable sales taxes and mandatory delivery fees.
  • Customer Assurance: By placing an order, you represent and warrant that your purchase, possession, and subsequent consumption of cannabis products are in full compliance with the laws of your specific province or territory.
  • Indemnification for Non-Compliance: Black Sheep Delivery assumes no liability for any legal repercussions, fines, or penalties that may result from your failure to comply with local, provincial, or federal cannabis laws.

4. Order Processing and Acceptance

  • Order Eligibility: Orders may only be placed by individuals who meet the legal age requirements specified in Section 1.
  • Formation of Contract: An order confirmation email signifies only that your order has been received. It does not constitute final acceptance of your order. A binding contract for the sale of goods is formed only upon our successful processing and dispatch of the product.
  • Refusal of Service: We reserve the unqualified right to decline or cancel any order for any reason, including but not limited to, inventory limitations, suspicion of fraudulent activity, or failure to meet age verification requirements. If an order is canceled after payment, the payment will be fully refunded to the original payment method.

5. Payment Terms

  • Payment Requirement: Full payment must be completed at the time of order placement utilizing the payment methods explicitly made available on the Service.
  • Accuracy of Information: You covenant to provide current, complete, and accurate billing and payment information. In the event of a payment failure or declined transaction, the corresponding order will not be processed.

6. Shipping, Delivery, and Age Verification

  • Delivery Area: Delivery services are restricted to our defined and published service area within [Insert Service Area/City, e.g., the Greater Hamilton Area].
  • Delivery Times: Any delivery timeframe communicated is an estimate and is not guaranteed. Black Sheep Delivery is not liable for delays beyond our reasonable control.
  • Accurate Information: You bear the sole responsibility for providing a complete, accurate, and secure delivery address. We are not responsible for delivery failures or losses resulting from incorrect or inaccessible address information provided by you.
  • Mandatory Age Verification: Delivery will only be completed upon the provision of valid, government-issued photo identification confirming the recipient is 19 years of age or older. If age verification fails, or if the recipient is visibly intoxicated, the delivery will be refused, and no refund will be issued for the order or associated delivery fees.

7. Returns, Refunds, and Replacements

  • All matters pertaining to returns, refunds, and product replacement are governed by our separate and detailed Return & Refund Policy, which is incorporated herein by reference. You are responsible for reviewing this policy prior to purchase.

8. Privacy

  • Your use of the Service is also governed by our Privacy Policy, which comprehensively details our practices regarding the collection, use, and protection of your personal information. By using the Service, you explicitly consent to such data practices as described in the Privacy Policy.

9. Intellectual Property

  • All content, features, and functionality of the Service, including all text, graphics, logos, images, software, and trademarks, are the exclusive property of Black Sheep Delivery or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial purposes only. Any unauthorized reproduction, distribution, modification, or creation of derivative works is strictly prohibited.

10. Prohibited Conduct

You explicitly agree not to utilize the Service to:

  • Violate any applicable local, provincial, or federal law or regulation.
  • Engage in the unauthorized resale or redistribution of our products, or their distribution to minors.
  • Interfere with the proper working of the Service, including the security features, servers, or networks.
  • Perform any fraudulent, misleading, or illegal activities.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Black Sheep Delivery, its affiliates, directors, officers, employees, and agents shall NOT be liable for any direct, indirect, incidental, special, or consequential damages whatsoever (including, without limitation, damages for loss of profits, data, or goodwill) arising out of or related to:

  • Your use or inability to use the Service.
  • Any unauthorized access to or alteration of your personal data.
  • Any errors or omissions in the Service’s content.

In no event shall the total aggregate liability of Black Sheep Delivery to you for all damages exceed the amount you paid for the specific product or service that gave rise to the liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless Black Sheep Delivery, its principals, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your violation of any third-party rights.

13. Amendments to Terms

Black Sheep Delivery reserves the right, at its sole discretion, to revise and update these Terms at any time. All changes are effective immediately upon posting. Your continued use of the Service following the posting of revised Terms signifies your acceptance of and agreement to the changes. You are responsible for periodically reviewing these Terms.

14. Governing Law and Jurisdiction

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Hamilton, Ontario.
